1. Agreement to Terms

By accessing or using Paywit's payment processing services, website, APIs, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

These Terms constitute a legally binding agreement between you and Paywit. Please read them carefully before using our Services.

2. Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using our Services under applicable laws
  • Provide accurate and complete information during registration
  • Comply with all applicable laws and regulations in your jurisdiction

3. Description of Services

Paywit provides payment processing services that enable merchants to accept stablecoin payments from customers. Our Services include:

  • Payment processing and settlement in stablecoins (e.g., USDC)
  • Merchant dashboard for managing payments and settings
  • APIs and SDKs for integrating payments into websites and applications
  • Transaction monitoring and reporting tools

We reserve the right to modify, suspend, or discontinue any part of our Services at any time with or without notice.

4. Account Registration and Security

To access certain features of our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your login credentials secure and confidential
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or pose security risks.

5. Acceptable Use

You agree not to use our Services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Process payments for illegal goods, services, or activities
  • Engage in fraud, money laundering, or terrorist financing
  • Circumvent any security measures or access restrictions
  • Interfere with or disrupt the integrity of our Services
  • Transmit malware, viruses, or other harmful code
  • Collect or harvest user data without authorization
  • Impersonate any person or entity
  • Process transactions for prohibited business categories

6. Prohibited Businesses

You may not use our Services if your business involves any of the following:

  • Illegal drugs or controlled substances
  • Weapons, ammunition, or explosives
  • Adult content or services
  • Gambling (unless properly licensed)
  • Counterfeit or stolen goods
  • Multi-level marketing or pyramid schemes
  • High-risk financial services without proper licensing
  • Any activity that violates sanctions or export controls

7. Fees and Payments

By using our Services, you agree to pay all applicable fees as described in our fee schedule. We reserve the right to change our fees with reasonable notice. Transaction fees are deducted from payments before settlement to your wallet.

All transactions processed through our Services are final and non-refundable due to the nature of blockchain transactions. Merchants are responsible for their own refund policies with customers.

8. Settlement and Payouts

Payments are settled directly to your designated wallet address. You are responsible for:

  • Providing accurate wallet addresses for receiving payments
  • Maintaining control and security of your wallet
  • Any tax obligations arising from received payments

We are not responsible for payments sent to incorrect wallet addresses or wallets you do not control.

9. Intellectual Property

All content, trademarks, logos, and intellectual property related to our Services are owned by Paywit or our licensors. You may not use, copy, modify, or distribute our intellectual property without prior written consent.

We grant you a limited, non-exclusive, non-transferable license to use our APIs and SDKs solely for integrating with our Services in accordance with these Terms.

10. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to:

  • Merchantability and fitness for a particular purpose
  • Uninterrupted, secure, or error-free operation
  • Accuracy, reliability, or completeness of any content
  • Results obtained from using our Services

Blockchain transactions carry inherent risks including price volatility, network congestion, and irreversibility. You assume all risks associated with cryptocurrency transactions.

11. Limitation of Liability

To the maximum extent permitted by law, Paywit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or data
  • Business interruption
  • Unauthorized access to or alteration of your data
  • Statements or conduct of any third party
  • Any other intangible losses

Our total liability for any claims arising from or related to these Terms or our Services shall not exceed the total fees paid by you to Paywit in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Paywit and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of applicable laws or regulations

13. Termination

We may suspend or terminate your access to our Services at any time, with or without cause, with or without notice. Upon termination:

  • Your right to use our Services will immediately cease
  • We may delete or retain your account data as required by law
  • Pending transactions may be completed or cancelled at our discretion
  • Provisions that should survive termination will remain in effect

14. Dispute Resolution

Any disputes arising from these Terms or your use of our Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.

You agree to waive any right to participate in class action lawsuits or class-wide arbitration against Paywit.

15. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our Services after changes become effective constitutes acceptance of the revised Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Paywit regarding our Services.
